1. Introduction

Welcome to Grabie Cart, an e-commerce marketplace operated by Digital Matrix Group (“Grabie Cart,” “we,” “our,” or “us”).

Grabie Cart provides a digital platform through which independent vendors can list and sell products and customers can browse, purchase, and receive products offered by those vendors.

These Terms & Conditions govern your access to and use of the Grabie Cart website, mobile application, and associated services.

By accessing, registering on, or using Grabie Cart, you agree to these Terms & Conditions, our Privacy Policy, our Return, Refund & Cancellation Policy, and any other applicable policies displayed on the platform.

If you do not agree to these terms, please do not use the platform.

2. Definitions

For the purposes of these Terms & Conditions:

3. Nature of the Platform

Grabie Cart is a multi-vendor e-commerce marketplace designed to connect customers and independent vendors.

Unless a particular transaction expressly states otherwise:

  1. Vendors list, offer, and sell their own products.

  2. Customers purchase products offered by the relevant vendors.

  3. Grabie Cart facilitates access to product listings, order-related communications, and other marketplace services.

  4. Vendors remain responsible for the accuracy of their listings, product compliance, inventory, and fulfilment obligations.

  5. Grabie Cart may assist with customer support, order issues, complaints, and return or refund coordination.

Grabie Cart acts as an intermediary marketplace and does not automatically become the seller of every product listed on the platform.

This description does not exclude any responsibility that applicable law places directly on Grabie Cart as a platform operator or e-commerce entity.

4. Eligibility to Use the Platform

By using Grabie Cart, you confirm that:

Where an individual is not legally eligible to enter into a transaction independently, the applicable legal requirements concerning age, consent, and representation must be followed.

5. Customer Account Registration

Customers may be required to create an account to access certain features or place orders.

Customers are responsible for:

Grabie Cart may suspend or restrict an account where there are reasonable grounds to suspect fraud, unlawful activity, security risks, or material violations of these terms, subject to applicable law.

6. Vendor Registration and Verification

Vendors must complete the registration and verification procedures prescribed by Grabie Cart before selling through the platform.

Depending on the vendor's business and products, required information may include:

Vendors must ensure that all information and documents submitted are genuine, accurate, current, and legally obtained.

Grabie Cart may request additional documents or conduct reasonable verification checks. Registration approval does not constitute a guarantee of a vendor's future performance or a blanket certification of every product.

Vendors must promptly notify Grabie Cart of material changes to their business registration, licences, contact details, or eligibility to sell.

7. Vendor Responsibilities

Every vendor is responsible for complying with the laws applicable to their business and products.

Vendors must:

  1. List products accurately and provide clear descriptions, specifications, images, prices, and applicable product information.

  2. Sell only products they are legally authorised to offer.

  3. Maintain valid licences, registrations, certificates, and approvals where required.

  4. Ensure products are genuine, safe, lawful, and compliant with applicable standards.

  5. Maintain accurate stock and availability information.

  6. Honour accepted orders and provide appropriate packaging and fulfilment.

  7. Provide invoices and other documents where legally required.

  8. Disclose applicable delivery, warranty, return, replacement, and refund conditions.

  9. Respond to customer complaints and after-sales requests within applicable timeframes.

  10. Protect customer information received through Grabie Cart.

  11. Refrain from misleading advertisements, counterfeit sales, prohibited products, and unlawful business practices.

  12. Cooperate with reasonable investigations concerning complaints, fraud, safety, or legal compliance.

Vendors must not use Grabie Cart to sell prohibited, restricted, counterfeit, stolen, unsafe, or otherwise unlawful products.

8. Product Listings and Availability

Product descriptions, photographs, specifications, prices, and availability are generally provided by the relevant vendors.

Grabie Cart may display, organise, or moderate vendor listings but does not independently guarantee that every listing is error-free.

Vendors are responsible for correcting inaccurate information and notifying Grabie Cart of material listing errors.

Product photographs are provided for reference. Actual appearance may vary due to lighting, display settings, packaging changes, or other reasonable differences, provided the product supplied conforms to the description and applicable law.

If a product is unavailable, incorrectly listed, or cannot lawfully be supplied, the order may be cancelled and any applicable refund will be processed in accordance with the relevant policy and law.

9. Prices, Taxes, and Additional Charges

Product prices are set by vendors unless otherwise expressly indicated.

Applicable taxes, delivery charges, platform charges, discounts, and other fees will be displayed or disclosed as required before the customer completes the purchase.

Vendors are responsible for their own tax registrations, invoices, and statutory obligations to the extent applicable to their transactions.

Grabie Cart may provide promotional offers, discount codes, or other incentives subject to their stated conditions.

Offers cannot be combined or applied unless their respective terms permit it.

If a pricing or calculation error is discovered, Grabie Cart or the relevant vendor will take appropriate corrective action in accordance with applicable law. An order will not be cancelled or altered in a manner that unlawfully deprives a customer of their rights.

10. Orders and Order Acceptance

When a customer places an order, the platform may issue an order acknowledgement or confirmation.

An acknowledgement of receipt does not necessarily mean that the vendor has accepted the order or that the product has been dispatched.

Orders may be subject to stock confirmation, payment authorisation, vendor acceptance, and other disclosed requirements.

An order may be declined or cancelled for legitimate reasons, including:

Where payment has been collected for an order that is cancelled, any applicable refund will be processed under the Return, Refund & Cancellation Policy and applicable law.

11. Payments

Customers must pay the amount displayed at checkout using the payment methods made available by Grabie Cart.

Payments may be processed by third-party payment gateways, banks, or other authorised payment providers.

Customers must not use stolen payment details, unauthorised accounts, fraudulent payment instruments, or any method intended to evade payment.

Grabie Cart may use payment status and transaction references to confirm orders, process cancellations, reconcile settlements, and investigate suspected fraud.

Customers should never disclose their UPI PIN, banking password, card security code, or one-time password to anyone claiming to arrange a refund.

Payment processing may be subject to the terms and privacy policies of the relevant payment service provider.

12. Delivery and Shipping

Delivery may be arranged by vendors, logistics partners, or other service providers, depending on the transaction.

Delivery estimates displayed on the platform are indicative unless expressly stated otherwise.

Customers must provide an accurate delivery address and contact details.

Vendors are responsible for preparing and dispatching products in accordance with the applicable order arrangements and legal requirements.

Delivery may be affected by weather, transport disruptions, public emergencies, address errors, or other circumstances beyond reasonable control.

If a delivery fails, a product is lost, or an order is materially delayed, customers may contact Grabie Cart support for assistance. Available remedies will depend on the circumstances, the applicable policy, and applicable law.

Nothing in these terms excludes a customer's statutory rights relating to delivery or non-delivery.

13. Return, Refund, Replacement, and Cancellation

All customers should read the applicable Return, Refund & Cancellation Policy and the relevant product or vendor policy before purchasing.

Because products are sold by different vendors, return eligibility and conditions may vary.

Customers should review:

Grabie Cart facilitates communication between customers and vendors and may assist with the processing of eligible requests.

Vendors are responsible for fulfilling their applicable return, replacement, and refund obligations.

A vendor's product policy cannot override mandatory consumer rights under applicable law.

Customers can submit complaints or request assistance through the designated Grabie Cart support channels.

14. Vendor Charges and Commercial Terms

Grabie Cart may charge vendors registration fees, subscription fees, listing charges, commissions, transaction fees, promotional charges, or other disclosed platform fees.

The applicable charges, payment schedules, settlement terms, and deductions will be communicated through the vendor registration process, vendor dashboard, or a separate vendor agreement.

Vendors are responsible for reviewing and accepting the applicable commercial terms before using paid vendor services.

Grabie Cart may update its vendor pricing or commercial arrangements with appropriate notice, subject to the applicable agreement and law.

The vendor's obligations under a separate signed Vendor Agreement will continue to apply. In the event of a conflict, the relevant agreement and applicable law will govern according to their scope and legal enforceability.

15. Prohibited Activities

Users must not:

Grabie Cart may investigate suspected violations and take proportionate action, including removing listings, restricting access, suspending accounts, or referring suspected unlawful conduct to the appropriate authorities where legally justified.

16. Reviews, Ratings, and User Content

Customers may be permitted to submit product reviews, ratings, photographs, and feedback.

Users must ensure that their content is truthful, relevant, lawful, and based on genuine experiences where represented as such.

Users must not submit fabricated reviews, defamatory statements, threats, personal information without authorisation, or content that infringes third-party rights.

By submitting content, you grant Grabie Cart a non-exclusive, royalty-free licence to host, reproduce, display, and distribute that content as reasonably necessary to operate, promote, and improve the platform, subject to applicable law and your rights.

You retain ownership of content you own. This licence does not authorise Grabie Cart to use your content beyond its permitted scope.

Grabie Cart may moderate or remove content that violates these terms or applicable law.

17. Intellectual Property

The Grabie Cart name, logo, website design, application interface, original text, graphics, software, and other platform materials may be owned by or licensed to Digital Matrix Group or the relevant rights holders.

Users may access and use these materials only as necessary for ordinary lawful use of the platform.

No user may reproduce, modify, distribute, sell, reverse engineer, or commercially exploit platform materials without permission, except where permitted by applicable law.

Vendors retain responsibility for ensuring that the product images, logos, descriptions, and other materials they upload may lawfully be used.

18. Privacy and Personal Information

Grabie Cart processes personal information in accordance with its Privacy Policy and applicable data protection laws.

Information may be shared with relevant vendors, delivery providers, payment processors, technology providers, or authorities where necessary and lawful.

Vendors must use customer information received through the platform only for authorised order fulfilment, customer service, legal compliance, or other lawful purposes.

Users should review the Privacy Policy for details regarding information collection, use, retention, sharing, security, and privacy rights.

19. Third-Party Services and Links

The platform may rely on third-party services, including payment gateways, logistics providers, communication services, maps, or external websites.

Such services may be governed by separate terms and privacy policies.

Grabie Cart is not responsible for the independent operation of third-party websites or services beyond responsibilities imposed by applicable law or contract.

Where a third party provides an essential part of a transaction, Grabie Cart will address relevant complaints in accordance with its role and applicable legal obligations.

20. Platform Availability and Maintenance

Grabie Cart aims to keep the platform available and functioning reliably.

However, temporary interruptions may occur due to maintenance, upgrades, technical failures, cyber incidents, telecommunications problems, or circumstances beyond reasonable control.

Grabie Cart may modify, suspend, or discontinue platform features where reasonably necessary for security, maintenance, operational improvements, or legal compliance.

Where required by law or contract, appropriate notice will be provided.

Nothing in this section excludes liability that cannot lawfully be excluded.

21. Disclaimer and Limitation of Liability

Grabie Cart provides marketplace services to facilitate connections between customers and vendors.

To the extent permitted by law, Grabie Cart does not independently manufacture or own every product listed by vendors and does not guarantee a vendor's performance merely because that vendor is registered on the platform.

Vendors remain responsible for their products, product descriptions, applicable licences, fulfilment, warranties, and other obligations assigned to them by law or contract.

However, Grabie Cart remains responsible for its own obligations as a platform operator and for any liability imposed by applicable law.

Nothing in these terms excludes or restricts liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded or limited.

22. Indemnification

To the extent permitted by applicable law, a user or vendor may be responsible for reasonable losses, claims, costs, or expenses arising directly from that party's unlawful conduct, material breach of these terms, infringement of third-party rights, or violation of applicable law.

This section does not make customers responsible for a vendor's independent wrongdoing merely because they purchased a product through Grabie Cart.

Any indemnification obligation will be subject to applicable law and the circumstances of the claim.

23. Suspension and Termination

Grabie Cart may restrict, suspend, or terminate access where reasonably necessary due to:

Where appropriate and legally permitted, the affected user or vendor may be notified of the reason and given an opportunity to respond or remedy the issue.

Suspension or termination does not remove obligations relating to outstanding payments, refunds, orders, personal information, or legal compliance that continue to apply.

24. Force Majeure

Neither party will be treated as having breached an obligation to the extent that performance is prevented by an event beyond reasonable control, such as a natural disaster, war, public emergency, widespread infrastructure failure, or government restriction.

The affected party should take reasonable steps to reduce the impact and resume performance when practicable.

This clause does not override mandatory consumer remedies, refund obligations, or other legal requirements that remain applicable.

25. Changes to These Terms

Grabie Cart may update these Terms & Conditions to reflect changes in its operations, platform features, commercial arrangements, or applicable laws.

The latest version will be published on the platform with an updated date.

Where legally required, material changes will be communicated to users or vendors and any necessary consent will be obtained.

Continued use of the platform after an update will be treated as acceptance only to the extent permitted by applicable law. Where fresh consent is required, continued use alone will not replace that requirement.
